Announcement on the appointment of senior management and change of secretary of the board of directors

Shanghai Silicon Industry Group Co., Ltd. (hereinafter referred to as the "Company") was convened on September 27, 2024

The 23rd meeting of the second session of the board of directors reviewed and approved the "Proposal on the Appointment of the Executive Vice President of the Company", "Proposal on the Appointment of the Executive Vice President of the Company" and "Proposal on the Appointment of the Secretary of the Board of Directors of the Company", and the relevant information is hereby announced as follows:

1. On the appointment of senior managers

In accordance with the provisions of the "Company Law" and other laws and regulations and the "Articles of Association of Shanghai Silicon Industry Group Co., Ltd.", due to the needs of the company's business development, Mr. Li Wei was appointed as the executive vice president of the company and Mr. Chen Taixiang as the executive vice president of the company after being nominated by the general manager and the qualification review of the nomination committee of the board of directors, and the term of office was from the date of deliberation and approval of the board of directors to the date of expiration of the second board of directors of the company. After this appointment, Mr. Li Wei will no longer serve as the executive vice president and secretary of the board of directors of the company. As of the disclosure date of this announcement, Mr. Li Wei held 1,368,000 shares of the Company, and Mr. Chen Taixiang did not hold any shares of the Company.

2. On the change of the secretary of the board of directors

The Board of Directors recently received the resignation application of Mr. Li Wei, Executive Vice President and Secretary of the Board of Directors of the Company, who applied to resign as the Secretary of the Board of Directors of the Company due to internal work adjustments.

In accordance with the provisions of the Company Law and other laws and regulations and the Articles of Association of Shanghai Silicon Industry Group Co., Ltd., Ms. Fang Na was appointed as the secretary of the board of directors of the company after being nominated by the chairman of the board of directors and the qualification review of the nomination committee of the board of directors, and the term of office was from the date of deliberation and approval of the board of directors to the date of expiration of the second board of directors of the company. Ms. Fang Na has obtained the qualification certificate of secretary of the board of directors of the Science and Technology Innovation Board of the Shanghai Stock Exchange, and her qualifications have been filed with the Shanghai Stock Exchange without objection. As of the disclosure date of this announcement, Ms. Fang Na held 378,467 shares of the company.

Li Wei, male, Chinese nationality, born in 1971, no right of permanent residence abroad, Ph.D. in microelectronics.

From 2000 to 2007, he successively served as an assistant researcher and associate researcher at the Shanghai Institute of Microsystems, Chinese Academy of Sciences, and in July 2001

Since January 2015, he has successively served as the director, co-CEO and chairman of Shanghai Xinsheng, and has won the first prize of the National Science and Technology Progress Award, the first prize of the Shanghai Science and Technology Progress Award, the Outstanding Scientific and Technological Achievement Award of the Chinese Academy of Sciences, and was awarded in 2010

Shanghai Model Worker, selected into the "Ten Thousand Talents Program" of the Organization Department of the Central Committee of the Communist Party of China in 2016, from December 2015 to 2019

In March, he was appointed as the vice president and secretary of the board of directors of Silicon Industry Co., Ltd. He is currently the Executive Vice President and Secretary of the Board of Directors of the Company.

Chen Taixiang, male, from Taiwan, China, born in 1968, majored in industrial engineering at Feng Chia University, Taiwan, and has nearly 32 years of experience in the semiconductor industry. He joined TSMC in 1992 and served as the deputy manager and manager of the manufacturing department of TSMC's wafer fabs 2 and 5. He joined SMIC in 2001 and has served as Deputy Director and Director of the Manufacturing Division of the Shanghai Plant, Director of the Solar Plant of Shanghai Plant 10, Vice President of the Corporate Planning Center, Vice President of the Procurement Center, and Vice President of the Headquarters Engineering and Service Center. In June 2019, he joined Shanghai Xinsheng, a subsidiary of the company, and successively served as deputy general manager and executive deputy general manager of production and operation, supply chain and enterprise engineering. In July 2024, he was appointed as the general manager of Taiyuan Jinke, a subsidiary of Shanghai Xinsheng.

Fang Na, female, Chinese nationality, born in 1984, holds a master's degree in microelectronics and solid-state electronics. From 2009 to 2015, he successively served as project manager and patent agent of Shanghai Silicon Intellectual Property Exchange Center, assistant researcher and patent management engineer of Shanghai Advanced Research Institute of Chinese Academy of Sciences, and since 2015, he has successively served as project manager, investment director and senior investment director of the company, and is currently the assistant to the president and head of the business department of the company.
