In accordance with the Administrative Measures for the Sponsorship Business of Securities Issuance and Listing, the Rules for the Listing of Stocks on the Science and Technology Innovation Board of the Shanghai Stock Exchange, and the Self-Regulatory Guidelines for Listed Companies on the Science and Technology Innovation Board of the Shanghai Stock Exchange No. 1 - Standardized Operation, China International Capital Corporation Limited (hereinafter referred to as "CICC" or the "Sponsor") of Xinjiang Daqo New Energy Co., Ltd. (hereinafter referred to as "Daqo Energy" or the "Company") has imposed a significant role on the senior management of Daqo Energy, The changes in the core technical personnel have been carefully and prudently verified, and the specific verification situation and verification opinions are as follows:

1. The specific situation of the change of deputy general manager and core technical personnel

Recently, the board of directors of the company received a written resignation report submitted by Mr. Hu Ping, deputy general manager and core technical personnel. Due to personal reasons, Mr. Hu Ping applied for resignation from the position of deputy general manager and core technical personnel of the company. Upon his resignation, Mr. Hu Ping will no longer hold any position in the Company.

(1) The specific situation of the deputy general manager and core technical personnel

Mr. Hu Ping, born in December 1972, Chinese nationality, no right of permanent residence abroad, college degree

(2) Patent situation

Mr. Hu Ping participated in the company's technology research and development related work during his tenure as a core technical personnel, and none of the patents he applied for as an inventor during his tenure were patents of a single inventor and were all service inventions

Make. The ownership of the aforesaid patents belongs to the company, and there are no patent disputes or potential disputes involved, and there is no situation that affects the integrity of the company's intellectual property rights.

(3) Performance of confidentiality obligations

According to the Labor Contract and Confidentiality Agreement signed between the Company and Mr. Hu Ping, the two parties have expressly agreed on the confidentiality rights and obligations, liability for breach of contract, non-competition and other matters concerning the Company's trade secrets and technical secrets, and Mr. Hu Ping has the obligation to keep confidential the Company's trade secrets and technical secrets. As of the date of issuance of this verification opinion, the Company has not found that Mr. Hu Ping has violated the confidentiality obligation.

2. Identification of new core technical personnel

The Company identified Mr. Pan Heping and Mr. Mo Kezhang as the Company's core technical personnel based on their employment history, as well as their participation in the Company's core technology research and development and their contribution to business development. The biographies of Mr. Pan Heping and Mr. Mo Kezhang are as follows:

3. The impact of the resignation of core technical personnel on the company

The departure of Mr. Hu Ping will not have a material adverse impact on the Company's ability to continue operations, R&D strength and core competitiveness. Through long-term technology accumulation and development, the company has established a complete R&D system and cultivated an efficient and creative R&D team. Team members perform their own responsibilities and ultimately form collective results, and there is no single dependence on specific core technical personnel.

At present, the company's technology research and development and daily operation are carried out normally, and the existing R&D team and core technical personnel can support the continuous research and development of the company's core technology in the future. At the same time, the company has formed a set of intellectual property protection system including patents, trademarks and software copyrights to effectively protect the company's innovative achievements. The company has always attached great importance to R&D, and will further increase R&D investment, improve the performance appraisal system and talent incentive mechanism, and enhance the company's technological innovation capabilities.

5. Verification opinions of the sponsor institution

After verification, the sponsor believes that:

1. As of the date of issuance of this verification opinion, the company's R&D team and core technical personnel are generally stable;

Mr. Hu Ping has completed the handover of work, and Mr. Hu Ping's resignation will not have a material adverse impact on the Company's R&D strength;

2. Mr. Hu Ping signed the "Labor Contract" and "Confidentiality Agreement" with the company, which clearly agreed on the confidentiality rights and obligations, liability for breach of contract, non-competition and other matters regarding the company's trade secrets and technical secrets. The patents and other intellectual property rights that Mr. Hu Ping participated in the application during his work are all the results of his duties, and the ownership of the intellectual property rights formed by such achievements belongs to the Company, and Mr. Hu Ping's resignation does not affect the integrity of the Company's patent rights;

3. The company's current technology research and development and daily operation are carried out normally, and Mr. Hu Ping's resignation has not had a material adverse impact on the company's ability to continue operations.

In summary, the sponsor has no objection to the resignation of Mr. Hu Ping, a senior manager and core technical personnel of Daqo Energy.
