Announcement on the resignation of the director

The Board of Directors of Sany Renewable Energy Co., Ltd. (hereinafter referred to as the "Company" or "Sany Renewable Energy") has recently received a written resignation report submitted by Mr. Guo Ruiguang, a director of the Company. Mr. Guo Ruiguang applied for resignation as a non-independent director of the second board of directors of the company due to work changes. After his resignation, Mr. Guo Ruiguang will no longer hold any position in the Company. In accordance with the Company Law of the People's Republic of China and other relevant provisions, the resignation of Mr. Guo Ruiguang did not cause the number of members of the Board of Directors of the Company to fall below the quorum, would not affect the normal operation of the Board of Directors of the Company, and would not adversely affect the daily operation of the Company, and the resignation report of Mr. Guo Ruiguang would take effect from the date of delivery to the Board of Directors of the Company.

As of the date of this announcement, Mr. Guo Ruiguang directly holds 1,204,000 shares of the company, and indirectly holds the company's shares through CITIC Securities Sany Renewable Energy's employee participation in the No. 3 collective asset management plan of the strategic placement of the Science and Technology Innovation Board, the company's 2022 employee stock ownership plan, and the company's 2023 employee stock ownership plan. After his resignation, Mr. Guo Ruiguang will continue to abide by the "Rules for the Management of the Shares of the Company Held by Directors, Supervisors and Senior Managers of Listed Companies and Their Changes", the "Rules for the Listing of Stocks on the Science and Technology Innovation Board of the Shanghai Stock Exchange", and the "Self-Regulatory Guidelines for Listed Companies on the Shanghai Stock Exchange No. 15 - Reduction of Shareholdings by Shareholders and Directors, Supervisors and Senior Managers" and other relevant commitments.
