1. Overview of the guarantee

(1) An overview of the situation

In order to meet the needs of the Company's production and operation and working capital turnover, and on the premise of ensuring standardized operation and controllable risks, the Company and its subsidiaries intend to apply for a total credit limit of no more than RMB140 billion (or equivalent in foreign currency) from banks, insurance companies, financial leasing companies and other financial institutions, and the maximum amount of mutual guarantee provided by the Company and its subsidiaries within the scope of the consolidated statements shall not exceed RMB116.5 billion (or equivalent in foreign currency). The actual guarantee amount is subject to the final signed and executed guarantee contract or the approval of the financial institution. The board of directors of the company proposes to the general meeting of shareholders to authorize the company's legal representative to sign and seal or the person in charge of finance and its authorized person to handle specific matters of financing and guarantee within the scope of the total credit limit and the upper limit of guarantee according to the needs of the company's actual business situation. Specific matters such as the guarantee method and guarantee period shall be subject to the guarantee agreement signed between the company and banks and other financial institutions.

3. The main content of the security agreement

The guarantee between the Company and its subsidiaries within the scope of the consolidated financial statements is mainly to meet the daily operating needs of the Company in 2025, and the maximum amount of guarantee shall not exceed RMB116.5 billion (or equivalent in foreign currency).

4. The reason and necessity of the guarantee

The guarantee between the company and its subsidiaries within the scope of the consolidated statements is to ensure the needs of the production and operation of the company and its subsidiaries and the estimated amount of the company and its subsidiaries in combination with the current business situation, which is in line with the actual needs of the company's overall production and operation, and is conducive to meeting the company's daily capital use and business scope expansion needs. Among the minority shareholders of the company's holding subsidiary, if the guaranteed object is a non-wholly-owned holding subsidiary, the company requires other shareholders other than the company to provide guarantee according to the proportion of shareholdings or other shareholders to provide counter-guarantee to the company according to the proportion of shareholding while the company provides 100% guarantee. Due to the strict approval procedures for external guarantees by state-owned shareholders, the remaining minority shareholders have no ability to provide guarantees, and the company has full control over the holding subsidiaries, and the company has overall controllable guarantee risks.

The application for a comprehensive credit line and external guarantee matters comply with relevant laws, regulations, normative documents and the Articles of Association, and the decision-making procedures are legal and compliant, and there is no harm to the interests of the company and its shareholders, especially small and medium-sized shareholders. Therefore, the board of directors agreed to apply for a comprehensive credit line and external guarantees.

At the same time, the company is in good operating condition, with good profitability and solvency. The company's deliberation procedures and voting results on the proposal are legal and valid.
