Guangzhou ZWT Software Co., Ltd. (hereinafter referred to as the "Company" or "ZWSOFT") held the 12th meeting of the 6th session of the Board of Directors (hereinafter referred to as the "Meeting") on December 26, 2024, and deliberated and passed the "Proposal on By-election of Members of the Special Committees of the 6th Session of the Board of Directors", and by-elected the members of the special committees of the Board of Directors of the Company. On the same day, the Company convened the Audit Committee of the Board of Directors, the Nomination Committee of the Board of Directors, and the Remuneration and Appraisal Committee of the Board of Directors to elect the conveners of each special committee (the convener of the Strategy Committee remains unchanged), and the composition and conveners of the adjusted special committees of the Board of Directors are as follows:

1. Strategy Committee: Du Yulin (convener), Liu Yufeng, Lin Qingzhong, Du Yuqing, Ning Zhenbo;

2. Remuneration and Appraisal Committee: Yan Fuyang (convener), Du Yulin, Li Yunchao;

3. Nomination Committee: Ning Zhenbo (convener), Li Yunchao, Liu Yufeng;

4. Audit Committee: Yan Fuyang (convener), Du Yuqing, Li Yunchao;

The term of office of the members of each special committee is from the date of deliberation and approval of the board of directors of the company to the date of expiration of the term of the sixth board of directors of the company.
