Announcement pursuant to Rules 13.51B(2) and 13.51(2)(u) of the Hong Kong Listing Rules

This announcement is made by Semiconductor Manufacturing International Corporation (the Company) pursuant to Rules 13.51B(2) and 13.51(2)(u) of the Rules Governing the Listing of Securities (the "Hong Kong Listing Rules") of The Stock Exchange of Hong Kong Limited (the "SEHK").

Reference is made to (i) the Company's announcement dated 5 December 2023 in relation to the Hong Kong Stock Exchange's public censure of Dr. Fan Jen-tat ("Dr. Fan"); and (ii) the news released by the Securities and Futures Commission of Hong Kong (the "SFC") on 14 March 2025 (the "News") involving the commencement of legal proceedings in the Court of First Instance against eight former directors of Golden Supreme Group (, International) Limited (formerly known as HKRH Holdings Limited (HKRHD), stock code, 2882). One of the eight former directors of HKRH was Dr. Fan, who was then an independent non-executive director of HKRH and an independent non-executive director of the Company. In seeking a disqualification order, the SFC alleged that the directors had all breached their obligations to HKRH and had failed to exercise due skill, care and diligence in the exercise of their powers and the performance of their functions.

For the avoidance of doubt, the news concerns HKRH Holdings only and does not involve any other directors or officers of the Company (other than Dr. Fan) and as of the date of this announcement, the Court of First Instance has not rendered a binding ruling on any action brought by the SFC against Dr. Fan. The Board of Directors of the Company (the Board of Directors) (except Dr. Fan) has reviewed the News. , the Board (other than Dr. Fan) considers that Dr. Fan is still suitable to serve as an independent non-executive Director of the Company for the following reasons

1. The Court of First Instance has not rendered any binding judgment or conclusion declaring that Dr. Fan is unfit to be a director of a listed company in Hong Kong

Affair; and

2. The matters contained in the news do not involve any dishonesty, fraud or integrity issues of Dr. Fan.

Apart from the news and as disclosed in this announcement, Dr. Fan has confirmed to the Company that there is no other information relating to him that is required to be disclosed pursuant to Rules 13.51B(2) and 13.51(2)(h) to (v) of the Hong Kong Listing Rules and there are no other matters that need to be brought to the attention of the shareholders of the Company. The Board is of the view that, based on Dr. Fan's past performance during the performance of his duties as an independent non-executive Director of the Company, the above matters will not have a material adverse effect on Dr. Fan's continued role as an independent non-executive Director of the Company.
