VeriSilicon Microelectronics (Shanghai) Co., Ltd. (hereinafter referred to as the "Company") recently received the "Reply on Agreeing to the Registration of VeriSilicon Microelectronics (Shanghai) Co., Ltd. to Issue Shares to Specific Targets" (Zheng Jian Xu Xu Xu [2025] No. 561) (hereinafter referred to as the "Approval Document") issued by the China Securities Regulatory Commission, which reads as follows:

1. Agree to your company's registration application for issuing shares to specific targets.

2. Your company's issuance should be implemented in strict accordance with the application documents and issuance plan submitted to the Shanghai Stock Exchange.

3. This reply shall be valid for 12 months from the date of consent to registration.

4. From the date of consent to registration to the end of the issuance, if any major event occurs in your company, it should be reported to the Shanghai Stock Exchange in a timely manner and dealt with in accordance with the relevant regulations.

The board of directors of the company will, in accordance with the requirements of the above-mentioned approval documents and relevant laws and regulations, as well as the authorization of the general meeting of shareholders of the company, handle the relevant matters related to the issuance of shares to specific objects within the specified time limit, and timely fulfill the obligation of information disclosure, please pay attention to the investment risks of the majority of investors.
