1. Overview of the guarantee

Passed the "Proposal on the Company's Application for Comprehensive Financing Quota and Provision of Guarantee in 2025", and approved that the Company and its subsidiaries intend to apply for a total credit limit of no more than RMB140 billion (or equivalent in foreign currency) from banks, insurance companies, financial leasing companies and other financial institutions, and the maximum amount of guarantees provided by the Company and its subsidiaries within the scope of the consolidated financial statements shall not exceed RMB116.5 billion (or equivalent in foreign currency). The actual guarantee amount is subject to the final signed and executed guarantee contract or the approval of the financial institution. The general meeting of shareholders of the company authorizes the legal representative of the company to sign and seal or the person in charge of finance and its authorized person according to the needs of the company's actual business situation, within the scope of the comprehensive financing quota and guarantee amount, to handle the specific matters of the financing and guarantee. Specific matters such as the guarantee method and guarantee period shall be subject to the guarantee agreement signed between the company and banks and other financial institutions.

This guarantee is within the scope of the guarantee amount approved by the above-mentioned general meeting of shareholders, and there is no need to perform the deliberation procedures of the board of directors or shareholders' meeting again.

3. The necessity and reasonableness of the guarantee

The above-mentioned guarantee items are to ensure that the production and operation needs of the company and its subsidiaries are combined with the current business situation, in line with the actual needs of the company's overall production and operation, and help meet the company's daily capital use and business scope needs. Among the minority shareholders of the company's holding subsidiary, if the guaranteed object is a non-wholly-owned holding subsidiary, the company requires other shareholders other than the company to provide guarantee according to the proportion of shareholdings or other shareholders to provide counter-guarantee to the company according to the proportion of shareholding while the company provides 100% guarantee. Due to the strict approval procedures for external guarantees by state-owned shareholders, the remaining minority shareholders have no ability to provide guarantees, and the company has full control over the holding subsidiaries, and the company has overall controllable guarantee risks.
