Suzhou TZTEK Technology Co., Ltd. (hereinafter referred to as the "Company") has formulated the 2025 annual list of directors, supervisors, and supervisors of the Company in accordance with the Company Law of the People's Republic of China, the Rules for the Listing of Stocks on the Science and Technology Innovation Board of the Shanghai Stock Exchange, the Self-Regulatory Guidelines for Listed Companies on the Science and Technology Innovation Board of the Shanghai Stock Exchange No. 1 - Standardized Operation, and the relevant provisions of the Articles of Association. Applicable objects: directors, supervisors and senior management of the company during the term of office in 2025
Applicable period: January 1, 2025 to December 31, 2025
Second, the specific content of the salary plan
(1) Remuneration of directors
The independent directors of the company are entitled to director's allowance, and the specific allowance standard is 100,000 yuan/year before tax. Necessary expenses incurred in the performance of duties shall be borne by the company.
If a non-independent director of the Company holds a specific position in the Company, he or she shall receive remuneration according to the specific position he or she holds and in accordance with the relevant system of the Company's remuneration and performance appraisal management, and shall not receive a separate director's allowance.
Non-independent directors who do not serve in the Company do not receive any remuneration or director's allowance.
(2) Remuneration of supervisors
Supervisors who hold specific positions in the company will receive remuneration in accordance with the company's remuneration and performance appraisal management system, and will not receive supervisor allowances separately.
(3) Remuneration of senior management personnel
The senior management of the company shall receive remuneration according to the relevant salary and performance appraisal management system of the company according to the specific positions they hold in the company.
The salary structure is: basic annual salary + performance appraisal salary, the basic annual salary is paid on a monthly average, and the performance appraisal salary is issued according to the assessment and evaluation in the appraisal cycle.
