(Yicai Global) Oct. 19 -- Jiangsu Yoke Technology Co. [SHE:002409] plans to issue new shares to take a 90-percent stake in gas producer Chengdu Kemeite Special Gas Co. and take over Jiangsu Xianke Semiconductor New Material Co. by topping up its existing holdings in the firm.
Total consideration for the deal will be CNY2.467 billion (USD373.78 million). Yoke Technology has no existing shares in Kemeite, but has a 15.2-percent stake in Xianke, the company announced yeaccording to a Yoke statement released on Oct. 18.
Kemeite is engaged in the research, development, production, purification and sale of fluorine containing special gases. Its main products include sulfur hexafluoride and carbon tetrafluoride. The company has pledged that it will make at least CNY360 million (USD54.54 million) in combined profits from 2017 through 2019.
Jiangsu Xianke's primary asset is UP Chemical Co., which it indirectly owns outright. UP Chemical produces highly specialized precursors and is a world-leading manufacturer in the field.
Yoke Technology engages in the research and production of electronic semiconductor materials and plastics additives. Through the deal, the firm will break into the semiconductor gas industry and hopes to achieve impressive growth in the sector, extending the company's existing product lines and generating stable, sustainable profit growth, it said.
